英语合同中若怎么翻译

A. 法律英语中有哪些经典表达

英文合同中有一些比较特定的，也就是在其他类型的文章中不容易出现的表达。这些句式和短语在其他文章类型以及日常用语中出现的频率非常之低，以至于当它们出现在英文合同中时，总是给让人一种陌生的感觉。其实，如果你是法律英语专业出身或者经常会有机会接触英文合同，你就会发现这些特定的表达数量并不算多，只是我们很少去归纳和总结而已。现在，我们就来总结一下，也欢迎各位法律英语专业人士来补充。
1、In accordance with/pursuant to 依据/依照/按照……的规定
合同是当事双方的“法律”。合同的目的在于尽最大可能使合同项下的交易行为依照法律规定或约定来开展，从而双方的交易变得具有可预见性。因此，合同中会经常出现“依据……的约定（规定）来……”的表达。在长期的合同翻译实践中，当需要表达依据时，专业法律人士倾向于使用in accordance with 或pursuant to.
2、In respect of/ in connection with/ with respect to 就……
在英语合同的翻译中，我们经常会遇见这样的表达，以表示对相关事物的限定。而在一般的英语文本中，当表达或提及到某一特定的事物时，我们通常会用concerning/regarding/in relation to/relating等。这些词如果放在法律文本中，则会让人感觉比较随意，不像in respect of 那样庄重、正式。
3、Except (for)/ unless 除非……；除……外
英文合同中经常会对一些例外的情况进行规定，最常见的表达是“除非……另有规定，否则……”，这里最常见的搭配是unless otherwise provided/stipulated, Party A shall not....比如，except as provided/stipulated in Article XXX，我们通常翻译为“除本法第XXX条的规定外”
4、Notwithstanding... 无论……如何规定；尽管有……的规定
作为介词，notwithstanding在普通的英文文本中很少出现。但其在英文合同中的出现频率却相当高。Notwithstanding的含义和普通英文文章中常见的although/though/even if没有太大分别，最明显的区别在于在法律合同中，notwithstanding中后面常跟名词性短语。比如：Notwithstanding the foregoing，一般翻译为“尽管本合同前述条款有所规定……，但……”
5、Provided that... 但（前提）是……
Provided that一般在法律合同中会出现在主句的后面，表示一种限定或者是前面主句所存在的条件。法律界通常称这种句子为“但书”（proviso）。
6、For the purpose(s) of... 就……而言；在……中
这又是一个在英文合同中经常出现的短语，不熟悉法律英语的译者在遇到这个短语时，可能第一个反应就是“为了……目的”。但其实在法律合同中，这个短语的表达其实并非我们想象的那样简单。大家都来擦亮眼睛，看看下面这个句子：FASIMILE SIGNATURES. The signature on this Agreement of any party that is faxed to the other party, will be deemed an original signature for the purpose of enforcement of this Agreement. 请问有多少人看了这个句子，会本能的将for the purpose of理解为“出于……之目的/为了……”？合理的译文：传真签名。通过传真方式发送给另一方的任何一方在本协议上的签署在本协议的实施中将被视为原始签署。For the purpose this Agreement, all costs of arbitration shall be borne by the losing Party unless otherwise stipulated by the arbitration tribunal.就本协议而言，所有仲裁费用应由败诉方承担，除非仲裁庭另有规定。
7、Subject to... 根据……的规定；在不抵触……的前提下；受制于……
该短语在法律英文中一般都跟agreement, section, contract等法律文件名称或文件中特定的条款名配合使用。通常可以翻译为“以……为条件”、“根据……的规定”、“在符合……的情况下”、“在不抵触……规定的情况下”等。
8、Without prejudice to... 在不影响……前提下；不影响……这个英文法律短语的功能相当于普通英文中的without affecting。与subject to 的用法相同，跟在without prejudice to这个短语之后的通常是一个指代某项法律条款的名词。其所包含的限制含义没有subject to那么强。看看下面这个例句：Without prejudice to section 24, the following shall be treated as properly executed...参考译文：在不影响第24条规定的情况下，以下协议应视为正式签订……。
9、Where... 如果……；凡……；……的
在普通英文中where通常用来引导地点状语从句或定语从句，但在法律英文中它常用于引导条件状语从句。其意义相当于in the case，即“凡……”、“如……”。

B. 英文合同中的调解条款Mediation

学习一句英文合同中的调解条款Mediation，摘自国外真实合同。

英文原文描述了一项调解条款，明确指出：若本协议产生任何争议，双方需在第三方调解员的协助下进行调解，并尽力达成和解。除非双方已进行调解且诚意尝试达成和解协议，否则不允许任何一方提起法律诉讼。调解员的费用，若产生，应由双方平均承担。若调解成功，双方均非胜诉方，各自承担法律成本。

重点词汇解释如下：file意为提起诉讼；prevailing party为胜诉方的固定搭配。

句子分析揭示了调解与和解的区别，调解员在调解过程中扮演中立角色，主要任务是协助双方会议协商，自身不主导调解进程。从“mutually”这个单词的出现，可推断合同双方为两个实体。

整体翻译为：调解。如因本协议产生任何争议，双方应在双方均可接受的调解员的协助下进行调解，并尝试达成解决方案。在未进行第一次调解会议并善意尝试达成调解解决方案之前，任何一方不得提起法律诉讼。如产生调解员费用，应由各方平均支付。如果通过调解达成解决方案，任何一方均不应被视为胜诉方，各方应承担各自法律费用。

先看看几个例句：

This contract is made this 19th of February,2014 by WFX Corporation (hereinafter referred to as "Sellers"）who agree to sell and HK Corporation (hereinafter referred to as "Buyers"), who agree to buy the following goods on the terms and conditions as below.

本合同由WFX公司（以下简称"卖方"）与HK公司（以下简称"买方"）于2014年2月19日订立，双方同意按下述条件买卖下列货物。

The deposit paid by the Buyers shall not be refunded if the Buyers fail to make full payment within the time herein specified and the Buyers shall be liable for all losses incurred therefrom to the Sellers.

如果买方在规定的时间内未付清货款，买方的保证金将不予退还，而且买方应承担卖方由此产生的一切损失。

在翻译古体词的时候，应根据本意及上下文灵活掌握释义。例如在此例中， herein可以不必译出。或采用汉语的文言词例如"兹"、"之"、"鉴于"、"特"等进行翻译。

IN WITNESSTH WHEREOF the parties hereto have executed this Contract by their authorized representatives as of the date first above written.

兹特由双方授权的代表，于上述首开日期签署本合同为据。

此例中的"IN WITNESSTH WHEREOF"意思是"作为协议事项的.证据"，是格式化的合同语言，类似采用大写形式的还有：IN CONSIDERATION OF(考虑到，以为约因）、WHEREAS (鉴于）、IN THE PRESENCE OF (见证人）、NOWTHEREFORE(特此、兹特）、NOW THESE PRESENTS WITNESS(兹特立约为据）。

当然，类似这样运用大量"古体词"的句子在任何一本英文合同里都可以找出上百句来。于是我们整理了这么一个列表，如果将下述词汇全都理解透，相信各位一定会对法律英语有进一步的了解，至少能更顺利地阅读法律文本。

1. hereafter

after this in sequence or in time, in some future time or state（此后，以下）

例句：

Both parties must agree to the terms specified hereunder.

双方均须同意以下条款。

2. hereby

by this means（以此方式，以此，特此）

例句：

I hereby acknowledge receipt of your letter of 25 July.

特此告知贵方7月25日的来函收悉。

3. herefrom

from this fact or statement（由此，从此）

例句：

The organization, XXXX, will be liable for any economic and legal liability incurred herefrom.

XXX一方将承担由此产生的一切经济和法律责任。

4. herein

in this document（此中，于此，在此文件中）

例句：

The statements and views expressed herein are those of the author and are not necessarily those of the Wilson Centre.

本书中的陈述和观点为作者个人意见，不一定代表威尔逊中心的看法。

5. hereinabove

at a prior point in this writing or document（前文，上文）

例句：

Any tax or ty other than those described hereinabove, if any, be borne by the Buyer.

除上述的税务和关税外,如果产生其他的税务和关税, 应有买方负担。

6. hereinafter

in the following part of this writing or document（在下文）

例句：

These territories are hereinafter referred to as trust territories.

此项领土以下简称“托管领土”。

7. hereinbefore

in the preceding part of this writing or document（在上文）

例句：

The hereinbefore is authentic and assures our business activities are legal.

以上所填内容属实,保证所从事的经济活动符合法律法规。

8. hereof

of this（就此，关于此）

例句：

The amount of each drawing must be endorsed on reverse hereof.

每笔汇票金额必须在信用证背面给予签注。

9. hereto

to this writing or document（对此，至此）

例句：

The Parties hereto reach an agreement in writing.

双方达成书面协议。

10. hereunder

under or in accordance with this writing or document（在下面，在下文）

例句：

Please quote us your lowest price for the items listed hereunder.

请报下列商品的最低价。

11. herewith

with this communication;enclosed in this（同此，随信附上）

例句：

Please find two samples enclosed herewith.

12. thereafter

after that（此后，后来）

例句：

The commitment fee shall quarterly be paid from the date in the third month thereafter to the earlier day of the Disbursement Date and the Termination Date.

从其后第3个月的该日起开始按季支付承诺费至发放日与终止日中较早之日。

13. therein

in or into that place,time,or thing（在那里，在其中）

例句：

A certificate of the Borrower shall, substantially, comply with the form set forth in Appendix 4, and the attachments specified therein.

14. thereinafter

in the following part of that matter (as writing, document, or speech)（在下文）

例句：

15. thereof

of that（在其中）

例句：

When the Buyer is entitled to determine the time within a specified period and /or the place of taking delivery, the Buyer in question shall give the Seller the notice thereof.

16. thereto

D. 英语合同条款翻译，英译中

（1）。如果卖方发生的与合同中取消的项目有关的10%的费用低于合同总价的20%，则买方应向卖方支付合同总价的20%。
