英語合同中若怎麼翻譯
A. 法律英語中有哪些經典表達
英文合同中有一些比較特定的，也就是在其他類型的文章中不容易出現的表達。這些句式和短語在其他文章類型以及日常用語中出現的頻率非常之低，以至於當它們出現在英文合同中時，總是給讓人一種陌生的感覺。其實，如果你是法律英語專業出身或者經常會有機會接觸英文合同，你就會發現這些特定的表達數量並不算多，只是我們很少去歸納和總結而已。現在，我們就來總結一下，也歡迎各位法律英語專業人士來補充。
1、In accordance with/pursuant to 依據/依照/按照……的規定
合同是當事雙方的「法律」。合同的目的在於盡最大可能使合同項下的交易行為依照法律規定或約定來開展，從而雙方的交易變得具有可預見性。因此，合同中會經常出現「依據……的約定（規定）來……」的表達。在長期的合同翻譯實踐中，當需要表達依據時，專業法律人士傾向於使用in accordance with 或pursuant to.
2、In respect of/ in connection with/ with respect to 就……
在英語合同的翻譯中，我們經常會遇見這樣的表達，以表示對相關事物的限定。而在一般的英語文本中，當表達或提及到某一特定的事物時，我們通常會用concerning/regarding/in relation to/relating等。這些詞如果放在法律文本中，則會讓人感覺比較隨意，不像in respect of 那樣莊重、正式。
3、Except (for)/ unless 除非……；除……外
英文合同中經常會對一些例外的情況進行規定，最常見的表達是「除非……另有規定，否則……」，這里最常見的搭配是unless otherwise provided/stipulated, Party A shall not....比如，except as provided/stipulated in Article XXX，我們通常翻譯為「除本法第XXX條的規定外」
4、Notwithstanding... 無論……如何規定；盡管有……的規定
作為介詞，notwithstanding在普通的英文文本中很少出現。但其在英文合同中的出現頻率卻相當高。Notwithstanding的含義和普通英文文章中常見的although/though/even if沒有太大分別，最明顯的區別在於在法律合同中，notwithstanding中後面常跟名詞性短語。比如：Notwithstanding the foregoing，一般翻譯為「盡管本合同前述條款有所規定……，但……」
5、Provided that... 但（前提）是……
Provided that一般在法律合同中會出現在主句的後面，表示一種限定或者是前面主句所存在的條件。法律界通常稱這種句子為「但書」（proviso）。
6、For the purpose(s) of... 就……而言；在……中
這又是一個在英文合同中經常出現的短語，不熟悉法律英語的譯者在遇到這個短語時，可能第一個反應就是「為了……目的」。但其實在法律合同中，這個短語的表達其實並非我們想像的那樣簡單。大家都來擦亮眼睛，看看下面這個句子：FASIMILE SIGNATURES. The signature on this Agreement of any party that is faxed to the other party, will be deemed an original signature for the purpose of enforcement of this Agreement. 請問有多少人看了這個句子，會本能的將for the purpose of理解為「出於……之目的/為了……」？合理的譯文：傳真簽名。通過傳真方式發送給另一方的任何一方在本協議上的簽署在本協議的實施中將被視為原始簽署。For the purpose this Agreement, all costs of arbitration shall be borne by the losing Party unless otherwise stipulated by the arbitration tribunal.就本協議而言，所有仲裁費用應由敗訴方承擔，除非仲裁庭另有規定。
7、Subject to... 根據……的規定；在不抵觸……的前提下；受制於……
該短語在法律英文中一般都跟agreement, section, contract等法律文件名稱或文件中特定的條款名配合使用。通常可以翻譯為「以……為條件」、「根據……的規定」、「在符合……的情況下」、「在不抵觸……規定的情況下」等。
8、Without prejudice to... 在不影響……前提下；不影響……這個英文法律短語的功能相當於普通英文中的without affecting。與subject to 的用法相同，跟在without prejudice to這個短語之後的通常是一個指代某項法律條款的名詞。其所包含的限制含義沒有subject to那麼強。看看下面這個例句：Without prejudice to section 24, the following shall be treated as properly executed...參考譯文：在不影響第24條規定的情況下，以下協議應視為正式簽訂……。
9、Where... 如果……；凡……；……的
在普通英文中where通常用來引導地點狀語從句或定語從句，但在法律英文中它常用於引導條件狀語從句。其意義相當於in the case，即「凡……」、「如……」。

B. 英文合同中的調解條款Mediation
學習一句英文合同中的調解條款Mediation，摘自國外真實合同。
英文原文描述了一項調解條款，明確指出：若本協議產生任何爭議，雙方需在第三方調解員的協助下進行調解，並盡力達成和解。除非雙方已進行調解且誠意嘗試達成和解協議，否則不允許任何一方提起法律訴訟。調解員的費用，若產生，應由雙方平均承擔。若調解成功，雙方均非勝訴方，各自承擔法律成本。
重點詞彙解釋如下：file意為提起訴訟；prevailing party為勝訴方的固定搭配。
句子分析揭示了調解與和解的區別，調解員在調解過程中扮演中立角色，主要任務是協助雙方會議協商，自身不主導調解進程。從「mutually」這個單詞的出現，可推斷合同雙方為兩個實體。
整體翻譯為：調解。如因本協議產生任何爭議，雙方應在雙方均可接受的調解員的協助下進行調解，並嘗試達成解決方案。在未進行第一次調解會議並善意嘗試達成調解解決方案之前，任何一方不得提起法律訴訟。如產生調解員費用，應由各方平均支付。如果通過調解達成解決方案，任何一方均不應被視為勝訴方，各方應承擔各自法律費用。

先看看幾個例句：
This contract is made this 19th of February,2014 by WFX Corporation (hereinafter referred to as "Sellers"）who agree to sell and HK Corporation (hereinafter referred to as "Buyers"), who agree to buy the following goods on the terms and conditions as below.
本合同由WFX公司（以下簡稱"賣方"）與HK公司（以下簡稱"買方"）於2014年2月19日訂立，雙方同意按下述條件買賣下列貨物。
The deposit paid by the Buyers shall not be refunded if the Buyers fail to make full payment within the time herein specified and the Buyers shall be liable for all losses incurred therefrom to the Sellers.
如果買方在規定的時間內未付清貨款，買方的保證金將不予退還，而且買方應承擔賣方由此產生的一切損失。
在翻譯古體詞的時候，應根據本意及上下文靈活掌握釋義。例如在此例中， herein可以不必譯出。或採用漢語的文言詞例如"茲"、"之"、"鑒於"、"特"等進行翻譯。
IN WITNESSTH WHEREOF the parties hereto have executed this Contract by their authorized representatives as of the date first above written.
茲特由雙方授權的代表，於上述首開日期簽署本合同為據。
此例中的"IN WITNESSTH WHEREOF"意思是"作為協議事項的.證據"，是格式化的合同語言，類似採用大寫形式的還有：IN CONSIDERATION OF(考慮到，以為約因）、WHEREAS (鑒於）、IN THE PRESENCE OF (見證人）、NOWTHEREFORE(特此、茲特）、NOW THESE PRESENTS WITNESS(茲特立約為據）。
當然，類似這樣運用大量"古體詞"的句子在任何一本英文合同里都可以找出上百句來。於是我們整理了這么一個列表，如果將下述詞彙全都理解透，相信各位一定會對法律英語有進一步的了解，至少能更順利地閱讀法律文本。

例句：

雙方均須同意以下條款。
2. hereby
by this means（以此方式，以此，特此）
例句：
I hereby acknowledge receipt of your letter of 25 July.
特此告知貴方7月25日的來函收悉。
3. herefrom
from this fact or statement（由此，從此）
例句：
The organization, XXXX, will be liable for any economic and legal liability incurred herefrom.
XXX一方將承擔由此產生的一切經濟和法律責任。
4. herein
in this document（此中，於此，在此文件中）
例句：
The statements and views expressed herein are those of the author and are not necessarily those of the Wilson Centre.
本書中的陳述和觀點為作者個人意見，不一定代表威爾遜中心的看法。
5. hereinabove
at a prior point in this writing or document（前文，上文）
例句：
Any tax or ty other than those described hereinabove, if any, be borne by the Buyer.
除上述的稅務和關稅外,如果產生其他的稅務和關稅, 應有買方負擔。
6. hereinafter
in the following part of this writing or document（在下文）
例句：
These territories are hereinafter referred to as trust territories.
此項領土以下簡稱「託管領土」。
7. hereinbefore
in the preceding part of this writing or document（在上文）
例句：
The hereinbefore is authentic and assures our business activities are legal.

8. hereof

The amount of each drawing must be endorsed on reverse hereof.
每筆匯票金額必須在信用證背面給予簽注。
9. hereto

例句：
The Parties hereto reach an agreement in writing.
雙方達成書面協議。
10. hereunder

例句：

12. thereafter
after that（此後，後來）
例句：

13. therein

;D. 英語合同條款翻譯，英譯中
